Terms & Conditions

By applying for or participating in the Meraki Wellness Center Affiliate Program ("Program"), you ("Affiliate") agree to be bound by the following Terms & Conditions.

1. Affiliate Enrollment

​

Meraki Wellness Center reserves the right to approve, deny, suspend, or terminate any affiliate application or account at its sole discretion. Acceptance into the Program does not guarantee continued participation.

​

2. Commission Structure

​

The applicable commission rate for each product or offer is displayed within the Affiliate Portal and may be modified at any time at the sole discretion of Meraki Wellness Center. Commission changes will apply prospectively and will not affect commissions already earned.

​

3. Commission Payments

​

A commission is considered earned only after:

• Meraki Wellness Center has received payment in full from the customer;

• the applicable refund period, if any, has expired;

• the transaction has not been refunded, canceled, disputed, identified as fraudulent, or charged back; and

• Meraki Wellness Center has approved the transaction.

 

Meraki Wellness Center shall have sole discretion in determining whether a transaction qualifies for commission.

Commissions are paid via PayPal within thirty (30) days following the end of the calendar month in which the commission becomes earned ("Net 30").

Meraki Wellness Center reserves the right to temporarily withhold commission payments while investigating suspected fraud, policy violations, unusual purchasing activity, or other compliance concerns.

​

Commissions are not earned on refunded, canceled, disputed, fraudulent, or chargeback transactions. If a commission has already been paid on such a transaction, Meraki Wellness Center may offset that amount against future commission payments.

​

4. FTC Compliance

​

Affiliates are responsible for complying with all applicable federal, state, and local laws governing advertising and endorsements, including the Federal Trade Commission (FTC) Endorsement Guides.

Affiliates must clearly and conspicuously disclose their affiliate relationship whenever promoting Meraki Wellness Center products or services.

5. Marketing Compliance & Health Claims

​

Meraki Wellness Center provides educational programs, wellness coaching, educational resources, and wellness testing support.

 

Affiliates may not represent Meraki Wellness Center as providing medical care or otherwise misrepresent our services.

​

Affiliates may not state or imply that Meraki Wellness Center, its programs, services, testing, supplements, educational materials, employees, contractors, or representatives:

• diagnose disease;

• treat disease;

• cure disease;

• prevent disease;

• heal medical conditions;

• provide guaranteed results;

• provide a "magic fix" or instant solution;

• replace licensed medical care;

• replace a physician or other healthcare provider;

• establish a doctor-patient relationship;

• provide FDA-approved diagnostic or therapeutic services unless expressly stated by Meraki Wellness Center.

 

Affiliates may not exaggerate expected outcomes or make claims that cannot be substantiated.

 

Affiliates may not make or share testimonials, personal experiences, or customer stories in a manner that implies guaranteed, typical, or medically substantiated outcomes or otherwise creates prohibited health or medical claims.

6. Approved Marketing Materials

​

Meraki Wellness Center may provide approved marketing materials for Affiliate use.

 

Affiliates may not alter company-provided copy in any way that changes the intended meaning, creates medical claims, guarantees results, or misrepresents Meraki Wellness Center's services.

 

If an Affiliate creates original content, they are solely responsible for ensuring it complies with all applicable laws, FTC guidelines, advertising regulations, and these Terms & Conditions.

Affiliates remain solely responsible for all marketing content they publish, including content generated through artificial intelligence or other automated tools.

​

Meraki Wellness Center reserves the right to require modification or removal of any promotional content at its sole discretion.

​

7. Truthful Advertising

​

All promotional content must be truthful, accurate, and not misleading.

 

Affiliates may not:

• make false or misleading statements;

• fabricate testimonials or reviews;

• create fake before-and-after results;

• make unsubstantiated health claims;

• misrepresent pricing or promotions;

• create false urgency or scarcity;

• use deceptive advertising practices; or

• otherwise mislead consumers regarding Meraki Wellness Center or its products and services.

8. Paid Advertising Restrictions

​

Without prior written approval, Affiliates may not bid on Meraki Wellness Center trademarks or confusingly similar variations in paid advertising platforms, including but not limited to:

• Meraki Wellness Center

• Dr. Torrie Thompson

• Meraki Foundations

• any branded product or program names

 

9. Pricing, Coupons & Promotions

​

Affiliates may advertise only pricing, promotions, discounts, and coupon codes that have been expressly approved by Meraki Wellness Center.

​

Affiliates may not:

• advertise unauthorized pricing;

• create their own discounts or promotional offers;

• stack discounts;

• advertise expired promotions;

• submit offers to coupon websites without written permission; or

• otherwise misrepresent the price of any Meraki Wellness Center product or service.

 

10. Prohibited Marketing Practices

​

Affiliates may not engage in:

• unsolicited email marketing (spam);

• unsolicited text messaging;

• robocalls;

• deceptive marketing practices;

• purchased email lists;

• cookie stuffing;

• fraudulent referral activity; or

• any activity that violates applicable laws or platform policies.

 

Affiliates may not earn commissions on purchases made through their own affiliate links or through purchases made primarily for the purpose of generating affiliate commissions by themselves or members of their immediate household.

11. Brand & Trademark Usage

​

Affiliates receive a limited, non-exclusive, revocable license to use approved Meraki Wellness Center marketing materials solely for participation in the Program.

​

Affiliates may not:

• create websites or landing pages that impersonate Meraki Wellness Center;

• create social media accounts suggesting official affiliation;

• register domains containing Meraki Wellness Center trademarks or confusingly similar names;

• represent themselves as employees, agents, or authorized representatives of Meraki Wellness Center.

 

Customers referred through the Program become customers of Meraki Wellness Center. Meraki Wellness Center retains sole ownership of all customer relationships, customer information, communications, and future marketing.

12. Social Media Responsibility

​

Affiliates are solely responsible for the content they publish.

​

Affiliates may not:

• represent themselves as customer support for Meraki Wellness Center;

• answer clinical or medical questions on behalf of Meraki Wellness Center;

• provide individualized protocols while representing Meraki Wellness Center;

• make promises or guarantees on behalf of Meraki Wellness Center.

 

Meraki Wellness Center reserves the right to request edits or removal of any content that violates these Terms or may negatively impact the Company's reputation or brand.

13. Independent Contractor Relationship

​

Affiliates participate as independent contractors.

​

Nothing in these Terms creates an employment relationship, partnership, joint venture, agency relationship, or authority to bind Meraki Wellness Center.

​

Affiliates may not negotiate contracts, issue refunds, modify pricing, make guarantees, or otherwise act on behalf of Meraki Wellness Center.

​

14. Intellectual Property

​

All trademarks, logos, graphics, videos, documents, courses, educational materials, and other intellectual property remain the exclusive property of Meraki Wellness Center.

​

Participation in the Program grants only a limited, non-exclusive, revocable license to use approved marketing materials during active participation in the Program.

​

15. Returns & Commission Adjustments

​

If a transaction is refunded, canceled, disputed, charged back, or otherwise determined to be invalid, the associated commission is not earned and may be deducted from future commission payments.

​

16. Reputation, Suspension & Termination

​

Affiliates agree not to engage in conduct that may damage the reputation, goodwill, or public image of Meraki Wellness Center.

​

Meraki Wellness Center may suspend or terminate an Affiliate's participation in the Program at any time, with or without notice, for violations of these Terms, fraudulent activity, misleading advertising, non-compliant health claims, FTC violations, conduct that may damage the Meraki Wellness Center brand, or any other reason deemed appropriate by Meraki Wellness Center.

Upon termination, all rights to use Meraki Wellness Center marketing materials immediately cease.

​

17. Program Changes

​

Meraki Wellness Center reserves the right to modify, suspend, or discontinue the Affiliate Program, commission structure, products, promotional offers, payment schedule, or these Terms & Conditions at any time.

​

Continued participation in the Program constitutes acceptance of any revised Terms.

​

18. Assignment

​

Affiliate accounts are personal and may not be sold, assigned, transferred, or otherwise conveyed without the prior written consent of Meraki Wellness Center.

​

19. Interpretation

​

Meraki Wellness Center shall have the sole authority to interpret these Terms & Conditions and determine compliance with the Affiliate Program.

​

20. Governing Law

​

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

​

21. Survival

​

The provisions relating to intellectual property, FTC compliance, confidentiality, commission adjustments, limitation of use of marketing materials, and any other provisions that by their nature should survive termination shall remain in effect following an Affiliate's removal from the Program.

​

22. Limitation of Liability

​

To the fullest extent permitted by applicable law, Meraki Wellness Center shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to participation in the Affiliate Program, including but not limited to loss of profits, loss of business opportunities, loss of data, or interruption of business, even if advised of the possibility of such damages.

​

Meraki Wellness Center makes no representations or warranties regarding the amount of commissions an Affiliate may earn, the continued availability of the Affiliate Program, or the performance of any products, services, websites, or marketing materials. Participation in the Program is at the Affiliate's own risk.

​

23. Indemnification

​

Affiliate agrees to defend, indemnify, and hold harmless Meraki Wellness Center and its owners, officers, directors, employees, contractors, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• the Affiliate's breach of these Terms & Conditions;

• any false, misleading, deceptive, or unauthorized marketing claims made by the Affiliate;

• violations of applicable laws, regulations, or FTC endorsement requirements;

• infringement or alleged infringement of any intellectual property or other rights resulting from the Affiliate's content or marketing activities; or

• the Affiliate's negligence, misconduct, or other acts or omissions in connection with participation in the Affiliate Program.

 

Meraki Wellness Center reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification. The Affiliate agrees to cooperate fully in the defense of any such claim.
